End-User Licensing Agreement – EULA

End-User License Agreement (EULA) for Advantage Moulding Ordering Portal

1. Acceptance of Terms:

• By accessing and using the Advantage Moulding Online Ordering Portal (“Portal”), located at advantagemoulding.com, you (“User” or “Licensee”) agree to be bound by the terms and conditions of this End-User License Agreement (“EULA”). If you do not agree with any part of this EULA, you must not use the Portal.

   

2. Grant of License:

• Advantage Moulding, Inc. (“Licensor”) grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Portal for the sole purpose of ordering products and services from Advantage Moulding, Inc., subject to the terms of this EULA.

   

3. User Accounts:

• You are responsible for maintaining the confidentiality of your account credentials (username and password).
• You agree to provide accurate and complete information during the registration and ordering process.   
• You are responsible for all activities that occur under your account.   
• Advantage Moulding, Inc. reserves the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if you violate this EULA.   

4. Ordering and Payment:

• All orders placed through the Portal are subject to acceptance by Advantage Moulding, Inc.
• Prices and product availability are subject to change without notice.
• Payment terms are as specified on the Portal or in your agreement with Advantage Moulding, Inc.
• You agree to pay all charges incurred in connection with your orders.

5. Intellectual Property:

• The Portal and all its content, including but not limited to text, graphics, logos, images, software, and data, are the property of Advantage Moulding, Inc. or its licensors and are protected by intellectual property laws.
• You may not reproduce, distribute, modify, or create derivative works from the Portal or its content without the express written permission of Advantage Moulding, Inc.   

6. Limitation of Liability:

• The Portal is provided “as is” and “as available” without warranties of any kind, either express or implied.
• Advantage Moulding, Inc. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Portal.   
• Advantage Moulding, Inc.’s liability shall be limited to the amount paid by you for the products or services ordered through the Portal.

7. Termination:

• Advantage Moulding, Inc. may terminate this EULA and your access to the Portal at any time for any reason, including but not limited to your violation of this EULA.
• Upon termination, you must cease all use of the Portal.

8. Changes to this EULA:

• Advantage Moulding, Inc. reserves the right to modify this EULA at any time.
• Any changes will be posted on the Portal, and your continued use of the Portal after such changes constitutes your acceptance of the revised EULA.

9. Governing Law:

• This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. 

10. Dispute Resolution:

• Any disputes arising from this EULA shall be resolved through arbitration in Orange County, California.

12. Entire Agreement:

• This EULA constitutes the entire agreement between you and Advantage Moulding, INC. with respect to the Portal and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

By using the Advantage Moulding Ordering Portal, you acknowledge that you have read, understood, and agree to be bound by this EULA.
